The Transfer Value Assessment

Evidence, not opinion

Find the value a buyer’s three workstreams can’t see and put it on paper. See where the value lives, who runs each piece, whether there is a second person, and what could interrupt it in the first ninety days after close. Every finding ties to a workflow, a person, a number or a document.

$7,500. Ten business days. The full fee credits toward Plan and Runway within 90 days of Proof Pack delivery.

VGS & Day Two

The Transfer Value Assessment answers two questions: can the value move to a new owner, and will the business keep delivering after the sale? VGS and Day Two examine each question separately, alongside the dollar value at risk.

VGS

Valuation-Grade Succession

Can the value transfer?

If the owner steps away, can others keep the customer accounts, decisions, essential work and AI workflows running? VGS examines the evidence and shows where value still depends on particular people.

Day Two

Continuity after the sale

Will the value hold?

Once the business changes hands, is it delivering what the buyer expected? Day Two examines how the business is running after the sale to show what is holding, where disruption could reduce value, and what needs attention.

How VGS and Day Two work together →

One Assessment intake. Two separate scores, reported beneath the dollar result. Findings guide Plan and Runway, and Day Two measures help the buyer verify that value is holding.

Who it’s for

A seller with a runway, a year or more from market, roughly $2M to $70M in EBITDA. A fire sale takes the discount. A runway earns the premium.

For buyers, the trigger is a live process. Access determines the scope of the assessment, and we agree that scope before you pay.

What goes in

We’ll send your CFO and HR one intake form for data they already have, with supporting documents. No interviews or self-ratings. The document includes fifteen evidence lines that guide where deeper review is needed; these do not produce a separate scan score.

  • Financials and the EBITDA adjustments your banker will claim in the sale document (the CIM).
  • Revenue and margin by account, with the intended exit multiple.
  • Who owns each key account, who runs each critical process and what is documented.
  • AI-enabled workflows, their operators and documentation, plus the org chart and key roles.

Enter it the way the buyer will find it. Information marked unavailable is recorded as a gap.

What comes out

The Proof Pack puts the Absence Test dollar result first across three buckets: revenue that follows a person, processes only one person can run, and imaginary claims in the sale materials. Two separate scores sit underneath: Can the value transfer? (VGS) and Will it hold? (Day Two). They are never blended. Findings use the Five Continuity Measures reporting frame, with component ratings capped by the Evidence Ladder. The report records what is documented, unknown or imaginary and sets out the fix list in order. The Proof Pack is designed to sit alongside the sale document (the CIM) and support review in a data room. Stephen validates the assessment before final results reach you, then walks through it in a readout conversation.

Delivery is ten business days from accepted complete intake and confirmed payment, whichever is later. Weekends and observed US federal holidays are excluded.

After the Assessment

Plan and Runway provides the ordered fix list, a forecast, playbooks and reassessment. Day Two measures help the buyer verify that value is holding and establish the forecast baseline. Scope and price come from the findings.

The Lift is a share of Transfer Value created at close, with a retainer. Terms are agreed for the engagement.
